Terms of Service

Peraly is preparing for early access. The platform, acceptable-use and billing sections reflect real constraints of the software and are accurate. The liability, indemnity and governing-law sections need counsel and a chosen jurisdiction, and settle once the operating entity is incorporated.
Acceptance of Terms
These terms govern your use of Peraly. Creating an account, connecting a social account or using the service in any way means you accept them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
Eligibility
You must be old enough to form a binding contract where you live, and old enough to hold accounts on the platforms you connect. You may not use Peraly if you are barred from doing so under applicable law or under a connected platform’s own terms.
What the Service Is
Software for managing social media accounts you own or are authorised to manage: automating replies to comments and messages, scheduling and publishing posts, and keeping a record of the conversations and contacts that result. Instagram and YouTube are the platforms it connects to today.
We provide the tool. The content, the messages and the judgement about what to send remain yours.
Peraly Accounts
You are responsible for the accuracy of your account details, for keeping your credentials secure, and for what happens under your account. Tell us promptly if you believe it has been compromised.
An account can be reached by email and password, or by signing in with Google. Where you sign in with Google, keeping that Google account secure is part of keeping your Peraly account secure — anyone who can pass Google’s sign-in for your address can reach your workspace.
Resetting a password ends every session on the account, on every device.
Workspaces
Content, connected channels, contacts and automations belong to a workspace. You are responsible for who you invite, what you let them do, and what they do with it.
Job roles narrow what a member can do and never widen it, and post approvals are available and off by default. Leaving them off is a choice, and actions taken by a member of your workspace are treated as taken by you. The audit log records the sensitive ones, and the last remaining owner cannot be removed.
Platform Rules Come First
Peraly reaches Instagram through Meta’s official APIs and YouTube through the YouTube API Services. Meta’s Platform Terms and Community Guidelines, and Google’s and YouTube’s terms, apply to everything you do through it. Where those rules and these terms differ, theirs take precedence — and we enforce them in the software even when that is inconvenient.
By connecting a YouTube channel you also agree to the YouTube Terms of Service, and your use of Google services is governed by the Google Privacy Policy.
In particular, and enforced by the product rather than only asked of you:
- Direct messages are only sent within 24 hours of that person messaging you. There is no setting that disables this.
- One private reply per comment, within seven days of the comment.
- Publishing is capped at each platform’s own limit — Instagram’s daily post cap per account, and YouTube’s daily API quota per project, which uploads consume quickly.
- Steps aimed at a platform that is not connected are skipped and recorded as skipped. Nothing is attempted through an unofficial route.
User Content
You keep all rights to what you create, upload and publish through Peraly. You grant us only the licence needed to store your content and deliver it to the platforms you ask us to post to. We claim no ownership, and we do not use your content or your contacts’ messages to train models.
You are responsible for holding the rights to everything you publish, including media and music. Adding a track you are not licensed to use can get your post muted or removed by the platform.
AI-Generated Content
AI features produce drafts and classifications automatically. Output may be inaccurate, incomplete, biased or unsuitable for your audience, and similar output may be generated for other users.
Peraly suggests; it does not send. AI output fills a box for you to edit, send or ignore, and nothing is published on your behalf because a model produced it. You remain responsible for anything published from your account, whether you wrote it or a model did.
Every plan includes AI credits on our platform key. From the Starter plan up you can supply your own provider key — Google Gemini, Anthropic Claude or OpenAI — in which case your use is also subject to that provider’s terms, and we are not a party to your relationship with them.
Automation
Automations and flows act on your behalf without further confirmation once enabled. Before enabling one, you are responsible for reviewing what it triggers on and what it sends.
You must not use automation to send spam, to mislead people about whether they are talking to an automated system where disclosure is required, or in any way that breaches a connected platform’s rules on automated activity.
Acceptable Use
Use Peraly lawfully, respect the rights of the people you communicate with, and follow the rules of every platform you connect.
Prohibited Activities
You may not:
- Send unsolicited messages, or message people who have asked you to stop.
- Publish or transmit unlawful, infringing, harassing or deceptive content.
- Harass, deceive or impersonate anyone.
- Attempt to bypass a platform’s rate limits, permissions or policies through Peraly.
- Scrape or resell contact data obtained through the service.
- Automate an account or channel you do not own or are not authorised to manage.
- Reverse engineer or resell the service, or attempt to reach another workspace’s data.
- Point an outbound webhook or HTTP step at a system you are not entitled to call. The product blocks private network and cloud metadata addresses; where the request goes otherwise is on you.
API and Platform Limitations
Publishing, message delivery and data availability are subject to the limits and behaviour of the connected platform. We cannot guarantee that a post will publish, that a message will be delivered, or that a particular metric will be available.
Where a platform rejects, rate-limits or is unavailable, Peraly records the reason and surfaces it rather than failing silently. Alerts about such failures are delivered on a best-effort basis and are not a substitute for checking.
Meta or Google may restrict or remove your account for breaking their rules. That decision is theirs and we cannot reverse it.
Subscription Plans
Peraly offers a free plan and three paid plans — Starter, Pro and Agency. Each carries its own limits on seats, channels, contacts, storage and analytics range, and its own allowances for AI credits, automated messages, broadcast recipients and published posts. The current limits for every plan are shown on the billing screen inside the app.
Limits on things that exist — seats, channels, flows — self-correct: delete one and you may create another. Allowances consumed over a billing period do not, because spending is spending.
Billing
Paid subscriptions are billed in advance through Stripe on the cycle you select, and renew automatically until cancelled. Stripe processes your payment details directly; we never receive full card numbers. Taxes may be added where applicable.
Trials
A workspace may start a 14-day trial of the Pro plan. When it ends, the workspace returns to the plan it was on and paid features stop; nothing created during the trial is deleted, but features above your plan’s limits become unavailable until you upgrade.
Cancellation
You can cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period and you keep paid features until then.
Intellectual Property
Peraly — its software, design, branding and documentation — belongs to us and our licensors. These terms transfer none of those rights to you beyond the right to use the service.
Peraly is not affiliated with, endorsed by or sponsored by Meta or Google. Instagram and YouTube are trademarks of their respective owners.
Third-Party Services
Peraly relies on third-party services including hosting, payment processing and AI providers. Your use of a connected platform is governed by that platform’s own terms, and we are not responsible for their acts or omissions.
Service Availability
We aim to keep Peraly available and reliable, but it is provided on an as-available basis. Maintenance, third-party outages and platform changes may interrupt it. We publish no uptime figure and offer no service level agreement.
Account Suspension and Termination
We may suspend or terminate access for a serious or repeated breach of these terms, if your use puts the service or a connected platform at risk, or where we are required to by law or by a platform. Where reasonable we will tell you first, and we will tell you why.
You may stop using Peraly and close your account at any time.
Data and Account Deletion
Disconnecting a channel deletes its stored access token immediately and stops everything aimed at it. Closing your account removes your workspaces and their contents from the live service. How long copies remain in backups is described in the Privacy Policy.
Disclaimers
Peraly is provided as-is. To the extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that AI output will be accurate, or that any automation will produce a particular commercial result.
Limitation of Liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential losses, including lost profits, lost audience or lost data.
Indemnification
You agree to indemnify Peraly against claims arising from your content, your use of the service, your automations, or your breach of these terms or of a connected platform’s rules.
Governing Law
These terms are governed by the law of the jurisdiction stated below, and disputes are handled in the courts specified there.
Changes to Terms
We may update these terms as the product and our obligations change. The date at the top shows when they last changed, and we will give notice of material changes in the product. Continuing to use Peraly after a change takes effect means you accept the updated terms.
